THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY OR COMPLETENESS OF COMPLIANCE ANALYSIS
  • THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
  • THAT DEFECTS WILL BE CORRECTED

Our compliance analysis is advisory only. We do not guarantee that following our recommendations will prevent ad disapprovals or account issues with advertising platforms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLYAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • LOSS OF PROFITS, REVENUE, OR DATA
  • BUSINESS INTERRUPTION
  • COST OF SUBSTITUTE SERVICES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ComplyAI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your advertising content or campaigns

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Termination does not entitle you to a refund of any prepaid fees.

11.2 Termination by Us

We may suspend or terminate your access immediately if you violate these Terms or for any other reason at our discretion, with or without notice.

11.3 Effect of Termination

Upon termination, your right to use the services ceases immediately. We may delete your data after a reasonable period.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the services. Your continued use after such notice constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of San Francisco, California, and you consent to personal jurisdiction in these courts.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and ComplyAI.
  • Severability: If any provision is found invalid, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver.
  • Assignment: You may not assign these Terms. We may assign them freely.
